Subscription Rider

Annual Commitment – The subscription service is a 12-month (or longer) commitment. A written Subscription Agreement will be presented for approval, which will incorporate this Rider and all other addendums. To the extent that the Subscription Agreement is in conflict with the Rider, the Subscription Agreement shall prevail.

Cancellation Policy – Service Agreement can be cancelled at any time but client must make payment in full of all prior services in the current term at the Firm’s typical billing rate.

Consults – Included in each package is one consult per month. The Firm’s attorneys are more than happy to take your call to answer questions, but the Firm may charge an Additional Consult fee if consult requests become excessive.

Work Hours – All work will be conducted Monday through Friday 9am to 5pm Central Standard Time. For weekend or late evening events or projects, a separate statement of work will be provided and at an additional charge.

Project Flow – Each project is a priority to us and your brand. We will handle each request, one project at a time, from start to finish. Each project will be broken down into necessary steps along with an estimated timeline per step.

Outside Costs – Various fees shall be charged in addition to the subscription fee for third party services, consultants, and services outside of the specific All Access services. Without limitation:

  • Search Company Fees – Search fees include costs to engage a third party searcher on patent searches or AI search platforms. An estimate will be provided if fees are expected.
  • Drafting Fees – Drafting includes drawings needed for patent and trademark applications. An estimate will be provided if fees are expected.
  • Translation Services – Translation services, written and verbal, are available however, an estimate will be provided based on the length of the project.
  • Government Fees – An estimate will be provided if fees are expected.
  • Intermediary Fees – At time an intermediary may be required to file certain documents. An estimate will be provided if fees are expected.

Rush Tokens – Each package includes 1 rush token every six months. A rush token may be utilized to request FPL to complete the work as quickly as possible. Typically this means the work is fast tracked and put as a top priority for the firm rather than scheduled in the normal course of business. The project will still take some time, but will be done quickly. If you have used your rush token for the six months, future rush order will be billed at normal rates.

Human Resource Services – This service is a specialty not included with the Packages. We typically recommend utilizing a PEO or HR specialist.

Collections – This service is a specialty not included with the Packages. We typically recommend utilizing a collections agency.

Out of Jurisdiction work – Included in each package is state law attorney work in ND, MN, and CO as well as patent and trademark work in the US. We can coordinate legal work outside of those jurisdictions with duly licensed parties but at additional costs.

Out of Scope Services – In the event you do have legal needs outside the scope of the Packages, we can help find you a service provider that can provide you a solution. Depending on the intensity of a the management of out of scope work, the management may be considered an ongoing project.

Business Sale and Business Windup – In the event you wish to sell your business or windup the business we can provide an estimated cost. Business sales and closings may require a variety of strategies depending on your specific situation.

Securities Offerings – Only Exempt Regulation D Securities are included in the Packages. Securities requiring registration or approval from a third party (such as the government) are not included in the packages. Securities Offerings are a lengthy project and may take a significant amount of time during a subscription. Bonds, non-accredited investor offerings, and other non-typical offerings are also not included.

Conflicts Checks – A conflicts check must be completed any time there are adverse parties. Examples of adverse parties include parties to a contract, parties in a dispute, etc. In the event there is a conflict, the Firm will refer you to another attorney. Should you not have a substitute project, you may elect to suspend the subscription while the matter is completed.

Owner Representation – The firm will represent the company itself and not an individual owner.

Litigation – This service is a specialty not included with the Packages. Most disputes can typically be resolved prior to litigation, but should litigation occur we will connect you to a litigation expert.

Basic Contracts – Basic Contracts include contracts less than 8 pages long and include the following contract types: Master Service Agreements, Subcontractor Agreements, Salesperson 1099 Agreements, NonDisclosure Agreement, Privacy Policy, Commercial Leases, and Terms & Conditions.

Estimate Completion Times – Each project will be completed sequentially and an estimated completion time will be generally provided at the start. Completion time estimates are approximates and a specific project may take more or less days. Typically, any project will be a minimum of 7 days primarily due to the necessity to schedule the work flow.

Subsidiaries – The work provided under each package may be extended to a wholly owned subsidiary at no additional cost. Note that if a subsidiary does not have the exact same ownership as the principal, work may not be performed for the subsidiary.

Travel – Some photo and video projects may require travel outside of the Fargo-Moorhead area, in those cases a travel and Per Diem estimate will be provided based on the scope of the project specifications. Travel for photo or video shoots within the 30 mile radius of our offices is included with your plan
